Our story

A street rising past parked cars to a white church spire, with three people talking on the pavement outside a shop.
The main street in Springfield, Vermont, 1941. Jack Delano, Library of Congress.

When a small business is sold, the buyer often can’t get the whole price financed by a bank. The seller lends part of it, and the buyer signs a promissory note: a seller note. For years the note leaves its holder waiting, tied to one business’s risk and cash flow, with little room to move.

Notecrest Capital was founded to serve the business owners who’ve built America’s backbone. We give them fair, fast liquidity for the note and an exit that preserves what they built, and we open the same notes to investors.

Notecrest Capital Fund, LLC is a private debt fund for accredited investors, set up to buy a diversified portfolio of small business seller notes. Giving sellers an exit is how we build that portfolio and manage its risk, through our own sourcing network and institutional underwriting standards, with AI-enhanced due diligence.
